Healthcare Change-of-Ownership Deal Feed

Description

A dated feed of ownership changes at Medicare-certified hospitals, skilled nursing facilities, home health agencies and hospices: who bought which facility, when, from whom, and whether a financial sponsor sits behind the buyer. One row per deal record, from two sources stacked in one table and told apart by deal_source:

deal_source What it is Facility types Window Rows
cms_chow A Change of Ownership (CHOW) CMS recorded: the buyer and seller enrollments, the CHOW type and the effective date. Hospital, SNF (the only types CMS publishes a CHOW file for) 2016-01 to 2026-06 6,329
new_owner_filing One or more owners with an ownership role whose association with the facility began on the same date, per the current CMS All Owners file. The facility-level footprint of an acquisition, recapitalization or holdco change. All four, including home health and hospice Association dates in the 3 years to the snapshot 8,993

Sponsor attribution uses the same classifier as the Facility Ownership and PE Sponsor Map: an owner is a financial sponsor when CMS's private-equity flag is Y on any filing by that owner, or its name reads as a fund vehicle. Read that dictionary's "How a financial sponsor is identified" section before relying on sponsor_buyer.

Built for deal teams: comps and precedent transactions by segment and state, sponsor activity tracking, add-on cadence of a platform, and seller identification in diligence.

  • Source: CMS Change of Ownership files for hospitals and SNFs (data.cms.gov); CMS All Owners and Enrollments files for hospitals, SNFs, home health agencies and hospices (data.cms.gov; monthly for hospitals and SNFs, quarterly for home health and hospice); Care Compare for facility names and locations; the Healthparse operator crosswalk for the current operator.
  • Refresh cadence: monthly. Ownership loads on the 2nd, ahead of the monthly marketplace export on the 3rd.
  • Row count: 15,322 deal rows: 6,329 CHOW records and 8,993 new-ownership filings (2026-10-24 export of the 2026-09-29 snapshot).
  • Vintage: 2026-09-29 (the CMS ownership snapshot date).
  • Coverage: CHOW 801 hospital and 5,528 SNF records; filings 1,440 hospital, 3,436 SNF, 2,598 home health and 1,519 hospice. 1,207 rows have a sponsor-backed buyer (168 CHOW, 1,039 filings).
  • History: CHOW back to January 2016. New-ownership filings cover association dates from 2023-09-29; earlier filings can be derived from monthly CMS snapshots back to 2022 as a backfill on request.

Rows by year of deal_date:

Year CHOW Filings Sponsor buyer
2016 304 0 20
2017 407 0 4
2018 489 0 7
2019 701 0 10
2020 498 0 29
2021 683 0 6
2022 774 0 8
2023 962 1,033 183
2024 871 3,663 280
2025 578 3,000 289
2026 62 1,297 371

The jump in sponsor-buyer rows from 2023 is the filings source starting, not a change in deal activity. Compare years within one deal_source.

Table: pe_ownership_deals

Column Type Description Notes
deal_id VARCHAR Stable row key. chow:<CMS CHOW record id> or filing:<ccn>:<association date>. Unique.
deal_date DATE CHOW effective date, or the owners' association date for a filing. Two filing rows are dated after the snapshot (2026-10-13, 2026-12-15): owners filed ahead of the effective date.
facility_type VARCHAR hospital, snf, hha or hospice. CHOW rows are hospital or SNF only.
ccn VARCHAR CCN of the acquired facility (the buyer enrollment's CCN for CHOW). Joins to pe_facility_ownership. 103 rows carry 7 to 9 character sub-unit CCNs as CMS files them. 83 rows reference a CCN not in the current ownership snapshot (closed, merged or re-enrolled since).
facility_name VARCHAR Current facility name from the ownership map. Null for the 83 CCNs not in the current snapshot.
city / state VARCHAR Current facility location. Null on 1,063 rows, mostly hospital sub-units and CCNs not in the snapshot.
deal_source VARCHAR cms_chow or new_owner_filing. See Description.
deal_type VARCHAR CHOW type as CMS records it (CHANGE OF OWNERSHIP: 6,211; ACQUISITION/MERGER: 118), or NEW OWNERSHIP INTEREST FILED for filings (8,993). —
buyer VARCHAR CHOW: the buyer organization as CMS records it. Populated on all 6,329 cms_chow rows; null on every new_owner_filing row, where the owners filed are in new_owners.
seller VARCHAR CHOW: the seller organization as CMS records it. Populated on all cms_chow rows; null on every filing row, because the All Owners file does not record who left.
new_owners VARCHAR Filing: semicolon-separated names of every ownership-role owner associated on deal_date, alphabetical. Null on CHOW rows. Typically the whole new chain: holdco, intermediate, sponsor funds and co-investors.
buyer_sponsor_families VARCHAR Semicolon-separated sponsor families behind the buyer. CHOW: sponsor owners filed for the buyer's CMS associate ID. Filing: sponsor families among new_owners. Null when none. Name-based grouping; several families can be one platform.
sponsor_buyer BOOLEAN True when buyer_sponsor_families is not null. 1,207 true. For CHOW rows this reflects the buyer's current owners, not necessarily its owners on the deal date.
buyer_facilities BIGINT CHOW: facilities on record for the buyer's CMS associate ID. Null on filing rows. 1 for most CHOW rows (4,666), because buyers usually enroll a new single-facility entity; it is not the size of the buyer's parent.
current_operator VARCHAR The facility's operator today, from the operator crosswalk. Present-day, not as of the deal.
current_ticker VARCHAR That operator's ticker, where listed. Present-day.
_dataset / _vintage / _exported_at VARCHAR See README. —

Known limits

  • Two sources, two meanings of "deal". A CHOW row is a change of ownership CMS processed. A filing row is a date on which new owners were associated with a facility; it captures acquisitions but also recapitalizations, holdco reorganizations and corrected filings. Filter on deal_source and do not add the two together as a deal count.
  • One transaction, many rows. A platform acquisition of 40 facilities appears as 40 rows (one per facility), and a CHOW can appear alongside a filing for the same facility and date. Group by deal_date and buyer_sponsor_families to see transactions rather than facilities.
  • No CHOW file for home health or hospice. Those types are covered by filings only, so they have no seller and no history before 2023-09-29.
  • CHOW lags. CMS publishes CHOW records after processing; 2026 holds 62 CHOW rows through June. Recent months fill in on later refreshes.
  • Sponsor attribution is current, not as of the deal. sponsor_buyer and buyer_sponsor_families come from today's ownership filings. A buyer that was sponsor-backed at the deal and has since been sold to a strategic shows its present owners.
  • No price. CMS records no deal value. Use the facility's beds and revenue from the ownership map or HCRIS as a size proxy.
  • The sponsor classifier's limits apply. The CMS PE flag is self-reported and mostly blank; see the ownership map dictionary.
